1. Introduction and Acceptance

These Terms and Conditions ("Terms") govern access to and use of the websites, products, and services provided by Artemis AI ("Artemis," "we," "us," or "our"), including our AI-powered security intelligence platform and any related software, dashboards, integrations, or documentation (collectively, the "Service").

By accessing our website, creating an account, signing an order form, or otherwise using the Service, you ("Customer," "you," or "your") agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization, and "you" refers to that organization.

If you do not agree to these Terms, do not access or use the Service.

2. Description of the Service

Artemis provides an AI-powered behavioral intelligence platform designed to integrate with a customer's existing camera and security infrastructure. The Service analyzes video from compatible cameras to identify configured behaviors, events, objects, or patterns, and generates alerts, classifications, and related intelligence for authorized users.

Artemis does not perform facial recognition and does not generate biometric identifiers for the purpose of identifying, verifying, or naming specific individuals. The Service is designed to support human decision-making, not to replace it.

The specific features, integrations, and capabilities available to you depend on your subscription, configuration, and deployment.

3. Eligibility and Accounts

You must be legally able to enter into a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized access to or use of your account.

You are responsible for ensuring that individuals you authorize to access the Service on your behalf comply with these Terms.

4. Customer Responsibilities and Lawful Use

Artemis is a tool that supports your security operations. You remain responsible for how the Service is deployed and used within your organization. You agree that you are solely responsible for:

  • establishing a lawful basis for any surveillance or monitoring you conduct;

  • providing appropriate notices to individuals who may be recorded, where required by law;

  • obtaining any consent required under applicable law before deploying cameras or the Service;

  • determining appropriate camera placement and monitored areas;

  • setting retention periods and access permissions appropriate to your environment;

  • complying with workplace monitoring, surveillance, and data protection laws applicable to your jurisdiction and deployment; and

  • obtaining any governmental, regulatory, or third-party authorization required for your use of the Service.

You agree not to use the Service in any way that violates applicable privacy, surveillance, civil rights, employment, or data protection laws. Artemis does not review or approve individual camera deployments and is not responsible for a customer's unlawful use of the Service.

5. License Grant and Restrictions

Subject to these Terms and any applicable order form, Artemis grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal security operations during the applicable subscription term.

You agree not to:

  • reverse engineer, decompile, or attempt to derive the source code, models, or underlying technology of the Service, except to the extent applicable law prohibits this restriction;

  • resell, sublicense, rent, or lease the Service to any third party without our prior written consent;

  • use the Service to build a competing product or service;

  • remove or obscure any proprietary notices on the Service;

  • circumvent any usage limits, licensing restrictions, or access controls; or

  • use the Service in a manner that could disable, overburden, or impair its operation.

6. Acceptable Use

In addition to Section 4, you agree not to use the Service to:

  • stalk, harass, intimidate, or unlawfully surveil any individual;

  • discriminate against any individual or group in violation of applicable law;

  • monitor locations where individuals have a legally recognized reasonable expectation of privacy, except as permitted by applicable law;

  • violate the intellectual property, privacy, or other rights of any third party; or

  • engage in any unlawful, fraudulent, or harmful activity.

We reserve the right to suspend or terminate access for any use that we reasonably believe violates this section.

7. Artificial Intelligence Outputs and Limitations

PLEASE READ THIS SECTION CAREFULLY. The Service uses artificial intelligence and computer vision to analyze video and generate alerts, classifications, confidence scores, and related outputs ("AI Outputs"). You acknowledge and agree that:

  • AI Outputs are probabilistic and may be inaccurate, incomplete, delayed, or fail to detect an event, including events that a human observer may have detected;

  • AI Outputs are intended to support, not replace, human judgment and decision-making;

  • the Service is not a substitute for trained security personnel, emergency services, fire or life-safety systems, or other professional judgment, and should not be relied upon as the sole means of detecting or responding to safety-critical or life-threatening events;

  • an alert, classification, or confidence score is not, by itself, proof of any fact, wrongdoing, intent, or identity, and should be independently verified by a human before any consequential action is taken; and

  • you are responsible for maintaining appropriate human oversight, staffing, and independent safety measures (including fire alarms, emergency call systems, and trained personnel) appropriate to your environment, and for not relying on the Service as your sole safety or emergency detection system.

Where applicable law restricts decisions with legal or similarly significant effects from being made solely on automated outputs, you agree to ensure appropriate human review before acting on any AI Output in a manner covered by that law.

8. Customer Data and Intellectual Property

Your Data. As between you and Artemis, you retain all rights to the video, images, and other content you or your camera systems submit to the Service ("Customer Data"). You grant Artemis a limited license to access, process, and analyze Customer Data solely to provide, maintain, secure, and improve the Service, consistent with our Privacy Policy.

Our Technology. Artemis and its licensors retain all right, title, and interest in and to the Service, including our software, models, algorithms, documentation, and trademarks. Nothing in these Terms transfers any ownership of our technology to you.

Feedback. If you provide suggestions or feedback about the Service, you grant us the right to use that feedback without restriction or obligation to you.

9. Third-Party Systems and Integrations

The Service is designed to integrate with camera systems, hardware, and third-party platforms that you already own or operate. Artemis does not manufacture or warrant third-party cameras, network hardware, or infrastructure, and is not responsible for the performance, availability, or security of third-party systems you connect to the Service. Your use of any third-party integration is subject to that third party's own terms.

10. Fees and Payment

Fees for the Service are set out in the applicable order form, subscription agreement, or invoice. Unless stated otherwise, fees are non-refundable, and you are responsible for any taxes associated with your use of the Service, excluding taxes based on our net income. Late payments may result in suspension of access to the Service until outstanding amounts are paid.

11. Term, Suspension, and Termination

These Terms remain in effect for as long as you have an active account or subscription. We may suspend or terminate your access to the Service if you materially breach these Terms and fail to cure that breach within a reasonable period after notice, or immediately if we reasonably believe your use poses a security, legal, or safety risk.

You may terminate your account in accordance with your applicable order form or subscription agreement. Upon termination, your right to access the Service ends, though provisions of these Terms that by their nature should survive termination will continue to apply, including sections on intellectual property, disclaimers, limitation of liability, and dispute resolution.

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or completely secure, or that it will detect every event or behavior it is configured to identify. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARTEMIS AND ITS OFFICERS, EMPLOYEES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARTEMIS'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO ARTEMIS FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Nothing in these Terms limits liability that cannot be limited or excluded under applicable law, including, where applicable, liability for death or personal injury caused by gross negligence or willful misconduct.

14. Indemnification

You agree to indemnify and hold Artemis harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service in violation of these Terms, your violation of applicable law, or your infringement of any third party's rights, including claims arising from your surveillance activities or camera deployments.

15. Confidentiality

Each party agrees to protect the other party's confidential information with the same degree of care it uses to protect its own confidential information of similar importance, and not to disclose it to third parties except as necessary to perform its obligations under these Terms, as required by law, or as otherwise agreed in writing.

16. Data Protection and Privacy

Our collection, use, and processing of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. Where Artemis processes personal information on your behalf as a data processor or service provider, the terms of the applicable data processing agreement between you and Artemis will govern that processing.

17. Export Controls and Sanctions

You agree to comply with all applicable export control and economic sanctions laws in your use of the Service, and represent that you are not located in, or ordinarily resident in, a country or region subject to comprehensive sanctions, and are not on any restricted party list, to the extent applicable law prohibits providing the Service to such parties.

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Ohio, without regard to its conflict of laws principles. Any dispute arising from these Terms or the Service will be resolved in the state or federal courts located in Ohio, and the parties consent to the personal jurisdiction of those courts, except where applicable law requires a different forum or permits a different dispute resolution mechanism.

19. Changes to These Terms

We may update these Terms from time to time to reflect changes to the Service, our business, or applicable law. The latest version will be posted on our website with the date it was last updated. Material changes will be communicated to active customers where required by law or contract. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

20. General Provisions

Entire Agreement. These Terms, together with any applicable order form, data processing agreement, and our Privacy Policy, constitute the entire agreement between you and Artemis regarding the Service and supersede any prior agreements on this subject.

Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

No Waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.

Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Force Majeure. Neither party is liable for delays or failures in performance resulting from causes beyond that party's reasonable control.

Notices. We may provide notices to you via email, through the Service, or by posting on our website.
